1. Service Description

SafePayMe provides a technology platform that connects approved online merchants to global onramp and payment providers, facilitating access to local payment options and settlement through supported crypto rails. SafePayMe is not a payment processor, bank, or financial institution. All payment processing and settlement services are provided by third-party provider partners.

2. Eligibility

Our Services are available only to businesses and individuals who:

• Are approved through our merchant application and review process
• Operate businesses in eligible industries and jurisdictions
• Complete all required KYC and compliance verification
• Are not located in or operating from restricted jurisdictions

We reserve the right to decline any application or terminate access to our Services at our sole discretion, in accordance with applicable law.

3. Merchant Responsibilities

As a user of our Services, you agree to:

• Provide accurate, current, and complete information during the application process
• Maintain the confidentiality of your account credentials
• Use our Services only for lawful purposes and in compliance with applicable laws and regulations
• Not use our Services for any prohibited business category as outlined in our Prohibited Businesses policy
• Promptly notify us of any changes to your business information or circumstances

4. No Guarantee of Services

SafePayMe does not guarantee:

• That any particular merchant application will be approved
• That specific payment methods, provider routes, or settlement options will be available
• Specific settlement times or that daily settlement will be achieved in all cases
• That any particular provider or payment method will be available in all jurisdictions

All services are subject to merchant approval, provider availability, jurisdictional restrictions, KYC, compliance review, and account terms.

5. Fees

Any fees associated with the use of our Services will be communicated to approved merchants as part of the onboarding process. SafePayMe reserves the right to modify its fee structure with reasonable notice to affected merchants.

6. Intellectual Property

The SafePayMe name, logo, website content, and platform technology are proprietary. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

7. Limitation of Liability

To the maximum extent permitted by applicable law, SafePayMe and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or relating to your use of our Services.

8. Indemnification

You agree to indemnify and hold SafePayMe harmless from any claims, damages, losses, liabilities, and expenses arising out of your use of our Services, your violation of these Terms, or your violation of any applicable law or regulation.

9. Termination

We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Upon termination, your right to use our Services will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SafePayMe is registered, without regard to its conflict of law principles.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes through our website or by email. Your continued use of our Services after such changes constitutes your acceptance of the updated Terms.
